Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Subscriber," or "you") and Aladin AI and Quantum Intelligence FZCO ("Aladin," "we," "us," or "our"), a company registered in the Dubai Multi Commodities Centre, United Arab Emirates.

By accessing, subscribing to, or using the ALADIN™ platform and any associated services, intelligence reports, or materials (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

The Service is designed exclusively for institutional users, including but not limited to: regulated precious metals dealers, bullion banks, sovereign wealth funds, institutional trading desks, and DMCC-licensed operators. If you do not meet these criteria or do not agree to these Terms, you must not access or use the Service.

2. Nature of the Service

ALADIN™ is a decision-support intelligence platform providing regime-aware market analysis for precious metals markets. The Service delivers informational and analytical content designed to support institutional awareness of market conditions.

All intelligence, reports, indices, and analytical outputs provided through the Service represent general institutional observations regarding market structure, regime classification, and execution quality conditions. These outputs are not intended to constitute, and shall not be construed as, recommendations to buy, sell, hold, or otherwise transact in any financial instrument or commodity.

3. No Investment Advice; No Fiduciary Duty

ALADIN™ does not provide investment advice, trading recommendations, suitability assessments, or personalized financial guidance. Nothing contained in the Service shall be construed as:

• Investment advice or a recommendation to purchase, sell, or hold any security, commodity, or financial instrument;
• An offer or solicitation to buy or sell any security or commodity;
• A suitability assessment or determination regarding any investment, strategy, or transaction;
• Tax, legal, or accounting advice;
• A representation regarding the appropriateness of any investment or strategy for any particular investor or institution.

No fiduciary relationship, advisory relationship, or duty of care is created between Aladin AI and Quantum Intelligence FZCO and any User by virtue of access to or use of the Service. Users retain sole and exclusive responsibility for all investment, trading, and capital-allocation decisions. Aladin AI and Quantum Intelligence FZCO expressly disclaims any fiduciary duty to Users.

Users are strongly encouraged to consult with qualified legal, tax, and financial advisors before making any investment or trading decisions.

4. Use Restrictions

Access to the Service is granted on a limited, non-exclusive, non-transferable, and revocable basis. Users shall not:

• Redistribute, republish, resell, sublicense, or otherwise make available any content, reports, or materials from the Service to any third party without prior written authorization;
• Use the Service to create derivative products, competing services, or any commercial offering based on ALADIN™ outputs;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, methodologies, or data structures underlying the Service;
• Remove, obscure, or alter any proprietary notices, watermarks, or attribution contained in Service materials;
• Share access credentials with unauthorized individuals or entities;
• Use the Service for any purpose that violates applicable law or regulation.

Violation of these restrictions may result in immediate termination of access and may give rise to legal action.

5. Intellectual Property

All content, data, methodologies, indices, reports, trademarks, trade names, and other intellectual property associated with ALADIN™ and the Service are and shall remain the exclusive property of Aladin AI and Quantum Intelligence FZCO or its licensors.

The ALADIN™ name, Souk Pressure Index™, and all associated branding are trademarks of Aladin AI and Quantum Intelligence FZCO. No license, right, or interest in any trademark is granted by these Terms.

Users are granted only a limited, revocable right to access and use the Service for internal institutional purposes in accordance with these Terms. No ownership interest in any intellectual property is transferred.

6. Access Control and Governance

Access to the Service is subject to tiered subscription levels, each with defined access rights, user limits, and distribution controls. These controls exist for governance, auditability, and compliance purposes.

Aladin AI and Quantum Intelligence FZCO reserves the right, at its sole and absolute discretion, to:

• Monitor access patterns and usage for security and compliance purposes;
• Require identity verification, institutional credentials, or DMCC license confirmation;
• Suspend or revoke access at any time, with or without cause, without prior notice;
• Modify access tiers, features, or distribution methods upon reasonable notice.

Users acknowledge that access controls are implemented as governance measures to protect intelligence quality, market integrity, and institutional standards.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Aladin AI and Quantum Intelligence FZCO, its officers, directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with:

• Use of or reliance on the Service or any content therein;
• Any investment, trading, or capital-allocation decision made by any User;
• Any market losses, opportunity costs, or adverse financial outcomes;
• Any interruption, delay, or unavailability of the Service;
• Any errors, omissions, or inaccuracies in Service content.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

In no event shall the aggregate liability of Aladin AI and Quantum Intelligence FZCO for any and all claims arising out of or related to the Service exceed the total fees actually paid by the User for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

8. Indemnification

Users agree to indemnify, defend, and hold harmless Aladin AI and Quantum Intelligence FZCO and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• User's breach of these Terms;
• User's misuse of the Service;
• User's violation of applicable law or regulation;
• Any unauthorized redistribution or disclosure of Service content;
• Any claim by a third party arising from User's use of the Service.

This indemnification obligation shall survive termination of these Terms and the User's access to the Service.

9. Termination

Aladin AI and Quantum Intelligence FZCO reserves the right, at its sole and absolute discretion, to suspend or terminate User access to the Service at any time, with or without cause, and with or without notice. This termination right is unilateral and discretionary. Upon termination:

• All rights granted under these Terms shall immediately cease;
• Users must immediately discontinue use of the Service and any materials obtained therefrom;
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law.

No refunds shall be issued for prepaid subscription fees upon termination for cause.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Dubai Multi Commodities Centre (DMCC) or, where applicable, the courts of Dubai, United Arab Emirates.

Users irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue therein.

11. Modifications

Aladin AI and Quantum Intelligence FZCO reserves the right to modify these Terms at any time. Material changes will be communicated to Users via the Service or registered email address. Continued use of the Service following such notice constitutes acceptance of modified Terms.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with any subscription agreement and the Privacy Policy, constitute the entire agreement between the User and Aladin AI and Quantum Intelligence FZCO with respect to the Service and supersede all prior agreements, understandings, and communications.
